THIRD PARTY RIGHTS

These Terms are for the benefit of RCI, its associates or partners, and Providers, and its and their officers, directors, employees, affiliated or related entities, agents, licensors and suppliers. Each of these individuals or entities shall have the right to assert and enforce these Terms directly against you on its or their own behalf.

USE OF RCI ENROLMENT FORM

The RCI Enrolment Form published on this Website is provided solely to assist you in enrolling persons to membership of RCI and for no other purposes. You warrant that you are at least 18 years of age, are a current RCI Affiliated Resort with permission to access and use this Website, and possess the legal authority to enter into this Agreement and to use this Website in accordance with all the Terms herein stated. You agree to be financially responsible for all your use of this Website (as well as for use of your account by others, including without limitation minors (persons under 18 years of age)). You agree to supervise all usage of this Website under your name or account. You also warrant that all information (including details you provide to RCI for the purpose of enrolling persons to membership of RCI) supplied by you, or by third parties authorised and supervised by you, in using this Website is true and accurate. If there are any changes to the details supplied by you, it is your responsibility to inform RCI as soon as possible. Without limitation, any speculative, false or fraudulent activities or any activities transactions in anticipation of demand are prohibited. You shall be responsible for all charges, fees, duties, taxes and assessments arising out of the use of this Website or from the activity of enrolling persons to membership of RCI.

EACH RCI ENROLMENT FORM SUBMITTED BY AFFILIATED RESORTS MUST BE SIGNED BY THE PERSON(S) WHO IS/ARE MAKING APPLICATION FOR MEMBERSHIP TO RCI. RCI SHALL HAVE AT ITS SOLE DISCRETION THE RIGHT TO REFUSE TO ACCEPT ANY RCI ENROLMENT FORM FOR APPLICATION TO MEMBERSHIP OF RCI WHICH DOES NOT CONTAIN ON ITS FACE FOR THE RECORD THE SIGNATURE OF THE PERSON(S) MAKING ANY SUCH APPLICATION. RCI'S TERMS OF MEMBERSHIP, WHICH ARE SEPARATE TERMS AND CONDITIONS TO THESE TERMS, WILL APPLY TO ALL PERSONS ENROLLED AS MEMBERS OF RCI AND THEREFORE ALL SUCH PERSONS ARE REQUIRED TO BE NOTIFIED OF THE EXISTENCE OF, AND MUST RECEIVE A COPY OF, THE RCI TERMS OF MEMBERSHIP EITHER BEFORE OR AT THE TIME OF SIGNING ANY RCI ENROLMENT FORM FOR APPLICATION TO MEMBERSHIP OF RCI.

ACCESS TO AND USE OF THIS WEB SITE IS MADE SUBJECT TO STRICT ADHERENCE BY AFFILIATED RESORTS TO BOTH OF THE ABOVE-MENTIONED REQUIREMENTS IN THE IMMEDIATELY PRECEDING PARAGRAPH. IN THE EVENT THAT RCI DOES DECIDE TO ACCEPT ANY RCI ENROLMENT FORM FOR APPLICATION TO MEMBERSHIP OF RCI WHICH DOES NOT CONTAIN ON ITS FACE FOR THE RECORD THE SIGNATURE OF THE PERSON(S) MAKING ANY SUCH APPLICATION AND/OR THE RCI TERMS OF MEMBERSHIP ARE NOT NOTIFIED TO, OR A COPY IS NOT PROVIDED TO, SUCH PERSON(S), THE AFFILIATED RESORT RESPONSIBLE FOR SUBMITTING THE UNSIGNED RCI ENROLMENT FORM AND/OR FOR NOT NOTIFYING OR PROVIDING, THE APPLICANT WITH THE RCI TERMS OF MEMBERSHIP AS REQUIRED BY NOTICE HEREUNDER SHALL FULLY INDEMNIFY, DEFEND AND HOLD HARMLESS RCI FROM AND AGAINST ALL LOSSES, EXPENSES, DAMAGES AND COSTS, INCLUDING REASONABLE LEGAL FEES, RESULTING FROM ANY VIOLATION BY IT OF THESE CONDITIONS.

LAW AND JURISDICTION

This Agreement (and any disputes, claims or proceedings of whatsoever nature arising out of or in any way relating to the use of, or the content on, this Website) is governed by and shall be construed in accordance with the laws of England. You hereby consent to the exclusive jurisdiction of the English courts in all disputes arising out of or relating to the use of this Website. Those who choose to access this Website from outside the United Kingdom are responsible for compliance with local laws, if, and to the extent that, local laws are applicable. You may not use or export materials or content contained on this Website in violation of UK and EU export laws and regulations. If any provision of these Terms shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and RCI as a result of this Agreement or use of this Website.

ENTIRE AGREEMENT

The provisions of these Terms, and each obligation referenced herein, represent the entire Agreement between RCI, its affiliated or related entities, associates or partners, and Providers on the one hand and you on the other, and supersede any prior proposals, agreements or understandings (whether oral or written) not incorporated herein. In the event that any inconsistencies exist between these Terms and any future published terms, conditions and notices of use or understanding, the last published Terms or terms, conditions and notices shall prevail.

A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
